Terms and Conditions also referred to as “Terms of Service” or “Terms of Use”

These Terms and Conditions (“Terms”) govern your access to and use of all digital services provided by VeriCortex, including our website (www.vericortex.com), the OmoSafe mobile application for child safety monitoring, and any other tools, platforms, or services we provide (collectively, the “Services”). VeriCortex is committed to enhancing child safety and protecting user privacy in compliance with applicable laws, including the Nigeria Data Protection Act (NDPA), GDPR, and the Children’s Online Privacy Protection Act (COPPA).

By accessing or using our Services, you agree to these Terms, including parents, guardians, authorized institutions, and other users. If you do not agree, do not use the Services.

1. Who We Are

VeriCortex is a digital solutions provider focused on cybersecurity, compliance, and digital safety. We serve families, businesses, and institutions through secure, human-centered innovation. Our Services include the VeriCortex website for informational and business purposes and the OmoSafe mobile app for child safety monitoring.

2. Use of Services

You agree to:

  • Use our Services only for lawful purposes.
  • Not misuse, interfere with, or disrupt our platforms.
  • Provide accurate and truthful information.
  • Maintain the confidentiality of your login credentials.
  • Be fully responsible for all activity conducted through your account or linked device.

2.1 Parental Consent for Minors: Users under 18 may only use the OmoSafe app with verifiable parental or guardian consent, obtained through email verification or app-based authentication. Parents may manage or revoke consent at any time via the app’s settings or by contacting legal@vericortex.com. We collect minimal personal data from children, strictly for safety purposes, and comply with COPPA, GDPR, and NDPA requirements. Age verification is enforced through parental account linkage.

3. Prohibited Conduct

You agree not to use the Services to:

  • Violate any laws or regulations.
  • Exploit, harm, or attempt to harm minors.
  • Collect, share, or store personal information without consent.
  • Engage in harassment, abuse, impersonation, or threatening behavior.
  • Reverse-engineer, decompile, or tamper with any aspect of our Services.
  • Resell or commercially exploit the Services without permission.
  • Interfere with system security or abuse alerts/reporting tools.

3.1 Child Safety-Specific Restrictions: You may not misuse OmoSafe’s safety features, including but not limited to tampering with geolocation data, disabling parental controls, or using the app to monitor individuals without consent. Such actions may result in immediate account termination and, where applicable, notification to law enforcement authorities.

4. Intellectual Property

All content, trademarks, software, and features on our platforms are the property of VeriCortex or its licensors. You may not copy, reproduce, modify, or distribute any part of the Services without written authorization.

5. Privacy and Data

5.1 Privacy Policy and Data Rights: Your use of our Services is governed by our Privacy Policy, available at www.vericortex.com/privacy-policy. We comply with the Nigeria Data Protection Act (NDPA), GDPR, COPPA, and other applicable laws. You have the right to access, correct, delete, or transfer your personal data. For children’s data, parents or guardians may exercise these rights on behalf of the child. In the event of a data breach, we will notify affected users within 72 hours as required by law.

6. Mobile App Licensing

When you download or use our mobile apps:

  • You are granted a limited, non-transferable, revocable license for personal or authorized institutional use only.
  • You may not reverse-engineer, copy, or commercially distribute the app.
  • Your use must comply with applicable app store terms (Google Play, Apple App Store).

6.1 App Updates and Compatibility: You must keep the OmoSafe app updated to ensure continued functionality and security. The app requires Android 10+ or iOS 14+.
6.2 In-App Purchases: Any in-app purchases or subscriptions require parental authorization and are subject to our refund policy, available at www.vericortex.com/refunds. Upon termination of your account, you must remove the app from all devices.
6.3 App Store Compliance: Your use of the OmoSafe app is subject to the terms of the Google Play Store or Apple App Store, which take precedence in case of conflicts. Subscriptions auto-renew unless canceled at least 24 hours before the renewal date, and refunds are subject to our refund policy and app store guidelines.

7. Third-Party Services

7.1 Third-Party Integrations: The OmoSafe app uses third-party services, such as Google Maps for geolocation and Firebase for notifications, which are subject to their respective terms. We ensure these providers comply with child safety and data protection laws. Children’s data is shared with third parties only as necessary and with parental consent. VeriCortex is not responsible for the privacy practices, content, or actions of third-party websites or tools linked from our Services.

8. Disclaimers

The Services are provided “as is” without warranties of any kind. We do not guarantee that access will be uninterrupted, secure, or error-free. We make no warranties as to fitness for a particular purpose.

8.1 Child Safety Disclaimers: The OmoSafe app is designed to enhance child safety but is not a substitute for active parental supervision or emergency services. Features like geolocation and alerts are provided with reasonable care but may not be 100% accurate due to technical limitations.

9. Limitation of Liability

9.1 Limitation of Liability for Safety Features: While we aim to provide reliable safety tools, VeriCortex and its founders, officers, employees, or partners shall not be liable for any indirect, incidental, or consequential damages resulting from your use of or inability to use the Services, including technical inaccuracies or misuse of safety features, except as required by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless VeriCortex, its founders, affiliates, and staff from any claims, damages, or legal actions arising from your use of the Services or violation of these Terms.

11. Export Controls and Sanctions

You agree not to use the Services in violation of applicable export control or trade sanction laws.

12. Termination

12.1 Account Termination and Data Deletion: You may terminate your account via the app’s settings or by emailing info@vericortex.com. Upon termination, we will delete your personal data within 30 days, except as required by law. We reserve the right to suspend or terminate your access to the Services at any time if you breach these Terms or engage in unauthorized or harmful activity. If we terminate your account for breach, we will notify you of the reason, where feasible.

13. Updates and Changes

13.1 Notification of Updates: We may update these Terms periodically. We will notify you of significant updates via email, in-app alerts, or a website banner at least 14 days before they take effect. Continued use after such updates constitutes acceptance of the revised Terms.

14. Governing Law

14.1 International Users: These Terms are governed by the laws of the Federal Republic of Nigeria. For international users, we comply with applicable local data protection laws, such as GDPR for EU residents.
14.2 Dispute Resolution: Any disputes arising from these Terms will be resolved through mediation in Lagos, Nigeria, before proceeding to arbitration or litigation in Nigerian courts.

15. Child Safety Features and Limitations

The OmoSafe app provides tools like geolocation, safe zone alerts, and emergency notifications to enhance child safety. These features rely on device settings (e.g., enabled location services) and may be affected by technical limitations, such as GPS accuracy or network availability. Continuous use may increase battery consumption. You are responsible for configuring settings correctly and understanding these limitations.

17. Force Majeure

VeriCortex is not liable for delays or failures in performance due to events beyond our control, such as natural disasters or cyberattacks.

18. Severability

If any provision of these Terms is found invalid, the remaining provisions remain enforceable.

19. Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between you and VeriCortex, superseding any prior agreements.
