End User License Agreement (EULA) – OmoSafe Mobile App

Effective Date: May 14, 2025

This End User License Agreement (“Agreement”) is a legal contract between you (“User”) and VeriCortex Limited (“VeriCortex” or “we”), governing your use of the OmoSafe mobile application (“OmoSafe” or “the App”). OmoSafe is designed to enhance child safety through monitoring features like geolocation and alerts, intended for use by parents, guardians, or authorized institutions. This Agreement ensures compliance with the Nigeria Data Protection Act (NDPA), COPPA, GDPR, and other applicable laws.

By downloading, installing, or using OmoSafe, you agree to be bound by this Agreement. If you do not agree, do not install or use the App.

1. License Grant

VeriCortex grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download, install, and use OmoSafe solely for personal, non-commercial, or authorized institutional use.
  • Access functionality consistent with OmoSafe’s purpose as a child digital safety and monitoring tool.

1.1 License Scope: The license permits installation on a reasonable number of devices, subject to Google Play and Apple App Store terms, which take precedence in case of conflicts. The license may be updated to reflect new features or services.

2. Restrictions

You agree not to:

  • Modify, reverse-engineer, decompile, or attempt to discover the source code of the App.
  • Rent, lease, lend, sell, sublicense, or distribute the App or its content.
  • Circumvent or disable any security or technical features.
  • Use the App in a manner that violates laws, regulations, or rights of others (especially children’s privacy).
  • Use the App to surveil, monitor, or collect data on individuals without legal authority or consent.

2.1 Child Safety Restrictions: You may not tamper with OmoSafe’s safety features, such as geolocation, safe zone alerts, or parental controls, or use the App to monitor individuals without consent. Violations may result in termination and, if involving child harm, notification to law enforcement.

3. User Responsibilities

You must:

  • Provide accurate and current registration information.
  • Be responsible for all activity under your account.
  • Maintain the confidentiality of your login credentials.

3.1 Parental Consent for Minors: OmoSafe may only be used for minors under 18 with verifiable parental or guardian consent, obtained through email verification or app-based authentication. Parents may manage or revoke consent via the app’s settings or by contacting legal@vericortex.com. We collect minimal personal data from children, strictly for safety purposes, in compliance with COPPA, GDPR, and NDPA. Age verification is enforced through parental account linkage.

3.2 Device and Feature Responsibilities: You must enable necessary device settings (e.g., location services) and keep OmoSafe updated on compatible devices (Android 10+ or iOS 14+). Continuous use of features like geolocation may increase battery consumption.

4. Data and Privacy

4.1 Privacy Policy and Data Rights: Your use of OmoSafe is governed by our Privacy Policy at www.vericortex.com/privacy-policy. We comply with NDPA, COPPA, GDPR, and other laws. You have the right to access, correct, delete, or transfer your data, and parents may exercise these rights for children. We notify users of data breaches within 72 hours, as required by law. Children’s data, such as location or screen time, is collected minimally and stored securely.

The App may collect device usage data, screen time metrics, location data, and security alerts to provide child safety features, designed to respect privacy and comply with data protection laws.

5. Intellectual Property

OmoSafe and all related content, designs, and trademarks are the exclusive property of VeriCortex. This Agreement does not transfer any ownership rights.

6. Updates and Maintenance

6.1 Mandatory Updates: Updates are mandatory to maintain security and functionality. They may alter features or require acceptance of updated terms. Maintenance may cause temporary interruptions, and we will notify users when feasible. Continued use of the App implies agreement with updated features and terms.

7. In-App Purchases and Subscriptions

In-app purchases or subscriptions require parental authorization and auto-renew unless canceled 24 hours before renewal. Refunds are subject to our policy at www.vericortex.com/refunds and app store guidelines.

8. Termination

8.1 User Termination and Data Deletion: This Agreement is effective until terminated. You may terminate via app settings or by emailing legal@vericortex.com. We will delete your data within 30 days, except as required by law. VeriCortex may terminate if you breach this Agreement. If we terminate for breach, we will notify you of the reason, where feasible. Upon termination, you must delete the App and cease all use.

9. Disclaimers

OmoSafe is provided “as is” and “as available.” VeriCortex disclaims all warranties, express or implied, including fitness for a particular purpose or non-infringement. We do not guarantee uninterrupted or error-free performance.

9.1 Child Safety Disclaimers: OmoSafe enhances child safety but is not a substitute for parental supervision or emergency services. Features like geolocation or alerts may not be 100% accurate due to technical limitations.

10. Limitation of Liability

10.1 Safety Feature Liability: While we aim to provide reliable safety tools, VeriCortex shall not be liable for damages from technical inaccuracies or misuse, except as required by law.

11. Governing Law

11.1 International Users: This Agreement is governed by the laws of the Federal Republic of Nigeria. For international users, we comply with local data protection laws, such as GDPR.
11.2 Dispute Resolution: Disputes will be resolved through mediation in Lagos, Nigeria, before arbitration or litigation in Nigerian courts.

12. Third-Party Services

OmoSafe uses third-party services like Google Maps for geolocation and Firebase for notifications, subject to their terms. We ensure these providers comply with child safety laws. Children’s data is shared only as necessary with parental consent.

14. Force Majeure

VeriCortex is not liable for delays due to events beyond our control, like natural disasters or cyberattacks.

15. Severability

If a provision is invalid, others remain enforceable.

16. Entire Agreement

This EULA and the Privacy Policy constitute the entire agreement, superseding prior agreements.
